1. Define the transaction before reviewing documents
A mineral sale, long-term offtake, licence transfer, equity acquisition, joint venture and exchange trade create different approval, tax, security and closing questions. The first deliverable is a transaction map showing the asset, seller, buyer, payment route, delivery point, approvals and conditions precedent.
2. Verify the licence, holder and operating status
Do not rely on a screenshot or translated licence alone. 4. Product, quality, quantity and logistics controls
For coal, copper concentrate, fluorspar and other minerals, the commercial file should align product specification, sampling, assay, moisture, impurities, weighing, stockpile ownership, delivery term, border route, customs classification and rejection mechanism. The contract should identify the controlling laboratory and how quality or quantity disputes are resolved.
5. Market access and exchange trading
Where a transaction may involve the Mongolian Stock Exchange or another regulated trading channel, eligibility, participant onboarding, contract format, settlement, delivery and disclosure rules must be checked against the current market procedure. Exchange access does not replace underlying title, product or counterparty diligence.
6. Technical, environmental and social review
Commercial diligence should be connected to reserve or resource information, mine plan, licences and permits, environmental obligations, land access, water, infrastructure, community issues, occupational safety and closure liabilities.
