Company Registration in Mongolia for Foreign Investors
A usable Mongolian company requires more than a registration certificate. Ownership, capital, registered address, business scope, banking, tax, licences and immigration should be planned together.
1. Confirm the business purpose before choosing an entity
Trading, project ownership, tender participation, employment, asset acquisition and a representative office require different structures. The company form, shareholders, director, registered address, capital route, licences and banking profile should be planned as one operating model.
2. Common structures
| Structure | Typical use | Key point |
|---|---|---|
| Limited liability company | Most trading, service and investment activities | Check foreign-investment status, capital and regulated activities |
| Joint venture LLC | Projects requiring a Mongolian partner | Control, reserved matters, funding and exit must be documented |
| Branch | Defined activities of a foreign parent | Liability may remain with the foreign parent |
| Representative office | Liaison and market research | Generally not intended for direct revenue-generating operations |
3. Foreign investment and capital planning
Current investor guidance commonly references foreign-invested status at 25% or more foreign ownership and a minimum investment threshold per foreign investor. Treatment, funding evidence and bank procedure must be confirmed immediately before filing; draft reforms are not effective rules.
4. Registration document matrix
- Passport or foreign corporate documents and beneficial ownership information
- Board or shareholder approvals and power of attorney
- Proposed Mongolian company name, charter, scope and director details
- Registered address and capital evidence
- Notarisation, Apostille and Mongolian translation where required
5. Registration is only the first milestone
After incorporation, the company may need tax and social-insurance registration, seals, accounting, bank accounts, online access, employment and immigration files, sector licences and ongoing maintenance. Bank account opening remains a separate KYC decision.
6. Service packages
Current registration packages start at US$4,000, with broader coordination packages at US$4,500 and US$5,000. Capital contributions, government charges, third-party certification, office rent, licence fees, accounting and immigration charges are separate unless included in writing.
7. What the client receives
The project file may include a structure note, document matrix, filing set, translation register, timeline, bank KYC checklist, post-registration calendar and a list of matters requiring licensed tax, legal or sector advice.
